Terms of Service
CoinIQ (“CoinIQ,” “we,” “us,” or “our”) provides software available at coiniq.bet (the “Platform” or “Service”), operated by CoinIQ, LLC (the “Company”).
By creating an account, connecting a third-party trading account, or otherwise accessing the Platform, you (“User,” “you”) agree to be bound by these Terms of Service (“Terms”), together with our Privacy Policy, our Refund, Fee and Subscription Policy, and our Risk Disclosure, each of which forms part of these Terms. If you do not agree, do not access or use the Platform.
1. Description of Service
CoinIQ is an automation tool for short-term cryptocurrency prediction markets, currently the 15-minute crypto markets on Kalshi and Polymarket. CoinIQ:
- Does not hold a gaming, gambling, broker-dealer, futures commission merchant, or money-transmitter license of any kind.
- Does not custody, hold, or have possession of your funds at any time.
- Does not act as a counterparty to any prediction, contract, or trade you place.
- Connects to third-party platforms, currently Kalshi (a CFTC-designated contract market) and Polymarket (a third-party prediction market platform), using API keys that you create from accounts that you independently opened, funded, and were approved for directly by those platforms.
- Analyzes publicly available market data (including cryptocurrency prices and live pricing from Kalshi and Polymarket) and, where you have switched on automated trading, places, manages, and exits orders on those platforms on your behalf according to the Platform’s trading logic and the settings you choose.
CoinIQ is an automation layer on top of accounts you already control. It is not the marketplace, the exchange, or the counterparty. Your trading relationship, including order execution, settlement, custody of funds, and withdrawal of funds, is solely with Kalshi and/or Polymarket and is governed entirely by their own terms of service.
2. Eligibility
To use the Platform, you represent and warrant that you:
- Are at least 18 years of age (or the minimum legal age for trading derivatives or prediction-market contracts in your jurisdiction, whichever is higher, which is 21 in jurisdictions that impose that threshold);
- Have full legal capacity to enter into a binding agreement;
- Are not located in, a citizen of, or a resident of any jurisdiction where use of the Platform, Kalshi, or Polymarket would be illegal under applicable law, including but not limited to the jurisdictions listed in Section 5;
- Are not named on the U.S. Treasury Department’s Office of Foreign Assets Control (“OFAC”) Specially Designated Nationals list or any other applicable restricted- or denied-party list, and are not owned or controlled by, or acting on behalf of, any such person or entity;
- Independently hold (or will independently obtain) any account, license, registration, or approval required by Kalshi and/or Polymarket to trade on those platforms, and that any such account was obtained truthfully and in compliance with that platform’s own eligibility, identity-verification, and jurisdictional requirements; and
- Will use the Platform only for your own account and not on behalf of any third party, unless separately agreed with us in writing.
We may review new accounts, and require additional identity or eligibility verification, at our discretion before granting or continuing access to the Platform.
3. Account Registration & Security
- You must provide accurate, current, and complete information when creating an account and keep it up to date.
- You are responsible for maintaining the confidentiality of your CoinIQ login credentials and of any API keys or private keys you provide to connect a third-party account, and for all activity that occurs under your account, whether or not authorized by you.
- You must notify us immediately at [email protected] of any unauthorized access to or use of your account.
- We are not liable for any loss arising from your failure to safeguard your login credentials, API keys, or device security.
4. Identity Verification, KYC & AML
- CoinIQ does not independently re-verify your identity for purposes of trading eligibility on Kalshi or Polymarket. Eligibility to trade on those platforms is established and verified by those platforms directly, as part of the account-opening process you completed with them before connecting that account to CoinIQ.
- For billing and account purposes, CoinIQ (or its payment processors, currently PayPal and Coinbase Commerce) may collect and verify identity and payment information as required by applicable law and payment-network rules.
- We reserve the right to request additional documentation, suspend, or terminate any account where we reasonably suspect fraud, money laundering, terrorist financing, sanctions evasion, or a violation of these Terms.
- You agree not to use the Platform, directly or indirectly, to facilitate money laundering, terrorist financing, or any other illegal financial activity.
5. Prohibited Jurisdictions & Prohibited Use
5.1 OFAC-Sanctioned Jurisdictions
You may not access or use the Platform if you are located in, ordinarily resident in, or accessing the Platform from Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, or Luhansk regions, or any other jurisdiction subject to comprehensive U.S. sanctions, as updated from time to time.
5.2 Third-Party Platform Restrictions
Kalshi and Polymarket each independently impose their own jurisdictional and eligibility restrictions on who may hold an account and trade on their platforms. CoinIQ does not control, override, or modify those restrictions. You agree that:
- You will only connect a Kalshi or Polymarket account to CoinIQ that you obtained truthfully, in your own name, and in compliance with that platform’s own eligibility and jurisdictional rules;
- You will not use a VPN, proxy, false address, false identity, or any other method to misrepresent your location or identity to Kalshi, Polymarket, or CoinIQ in order to obtain or maintain access to a platform or account you would not otherwise be eligible to use; and
- Any attempt to circumvent the jurisdictional restrictions of a third-party platform is a material breach of these Terms, independent of and in addition to whatever consequences that platform itself may impose (including account termination by that platform).
5.3 Acceptable Use
You may not attempt to gain unauthorized access to the Platform or to another user’s account, interfere with or overload the Platform, or use the Platform in violation of Kalshi’s or Polymarket’s rules or of applicable law.
We may suspend or terminate your CoinIQ account immediately, without notice, if we have reason to believe you have violated this Section.
6. Third-Party Platform & API Dependency
You acknowledge and agree that CoinIQ’s functionality is entirely dependent on third-party infrastructure outside of our control, including the Kalshi API, the Polymarket API, cryptocurrency price feeds, and the market data those platforms publish. CoinIQ is not responsible or liable for, and you assume all risk arising from:
- API downtime, outages, scheduled maintenance, rate-limiting, or degraded performance on Kalshi, Polymarket, or any data provider;
- Order execution delays, latency, slippage, partial fills, or failed order submission, for entries, exits, and stop-loss orders alike;
- Stale, delayed, or inaccurate pricing or market data received from a third-party feed. Short-term markets can move within seconds, and the Company does not warrant that any price, statistic, or data point displayed or acted upon is accurate or current at any moment. All data is provided strictly “as is”;
- Suspension, restriction, or termination of your account by Kalshi or Polymarket, for any reason, including reasons unrelated to CoinIQ;
- Sudden changes to a third-party platform’s rules, fee structure, market listings, settlement methodology, or API behavior; and
- Any bug, security incident, insolvency, or cessation of operations by Kalshi, Polymarket, or any other third-party service CoinIQ integrates with.
We make commercially reasonable efforts to monitor connectivity and recover automatically from disruptions, but we do not guarantee uninterrupted, error-free, or real-time access, execution, or data accuracy at any time.
7. Automated Trading & Assumption of Risk
Trading prediction-market contracts, including through automated means, carries an inherent risk of substantial and total loss of the capital you allocate. By using the Platform, you acknowledge and agree that:
- Prediction-market prices, especially on short markets tied to a cryptocurrency’s price, can be highly volatile and can move suddenly with the underlying cryptocurrency, with news, with data errors, or with market dynamics;
- The Platform’s trading logic, signals, and models are based on historical data, statistical inference, and probabilistic models, and no historical win rate, backtest result, or live track record, however favorable, guarantees any future result, including figures shown on the Platform or its sign-in page;
- Software, models, and trading logic can contain errors, can misread a market, and can place an order you would not have placed yourself;
- When automated trading is switched on, the Platform places, manages, and exits orders on your account without asking you first, around the clock;
- We may change the Platform’s trading logic, entry and exit rules, default settings, and supported markets at any time, for every account, without notice;
- You are solely responsible for deciding whether to switch on automated trading, for the bet sizes, limits, and other settings you choose, for funding your accounts, and for monitoring your own accounts; and
- You should only allocate capital you can afford to lose in full.
CoinIQ does not guarantee any profit, return, or outcome of any kind. Our Risk Disclosure describes these risks in more detail.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Platform is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Platform will be uninterrupted, error-free, or secure.
- In no event shall the Company, its owners, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or trading capital, arising out of or related to your use of the Platform, even if advised of the possibility of such damages.
- The Company’s total aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the total amount you actually paid to the Company in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).
- These limitations apply regardless of the legal theory asserted (contract, tort, negligence, strict liability, or otherwise) and are a fundamental basis of the bargain between you and the Company.
- Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Intellectual Property
All software, source code, trading logic, models, branding, trademarks, text, and other content made available through the Platform are owned by the Company or its licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own personal use, subject to these Terms. You may not copy, reverse-engineer, decompile, resell, sublicense, or create derivative works from the Platform without our prior written consent.
10. Fees
Use of certain features of the Platform, including automated trading after any free trial, requires payment of fees as described in our Refund, Fee and Subscription Policy, which is incorporated into these Terms by reference.
11. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause or notice, including for any violation of these Terms. You may terminate your account at any time by emailing [email protected]. Termination does not relieve you of any payment obligations accrued prior to termination, and does not affect your separate, independent relationship with Kalshi or Polymarket.
You can stop the Platform’s access to your exchange accounts at any time by switching off automated trading, by removing your keys in Settings, or by revoking the API keys on Kalshi or Polymarket. Positions already open remain in your accounts on those platforms, where you can manage or close them directly.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its owners, officers, directors, employees, and agents from any claim, demand, loss, or liability, including reasonable attorneys’ fees, arising out of (a) your use of the Platform, (b) your violation of these Terms, (c) your violation of any third-party platform’s terms, or (d) your violation of any applicable law or the rights of any third party.
13. Governing Law & Dispute Resolution
13.1 Governing Law & Venue
These Terms are governed by the laws of the State in which the Company is organized and by applicable U.S. federal law, without regard to conflict-of-laws principles. Subject to the arbitration agreement in Section 13.2, you agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be brought exclusively in the state or federal courts located in the county of the Company’s principal place of business, and you consent to the personal jurisdiction of those courts.
13.2 Binding Arbitration & Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform, except disputes that qualify for small claims court, shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall be seated in the county of the Company’s principal place of business, or conducted remotely by videoconference at the arbitrator’s discretion, and shall be governed by the Federal Arbitration Act.
You and the Company each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding.
All claims must be brought in an individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.
You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Opting out of arbitration does not affect any other provision of these Terms, including the governing-law and venue provisions in Section 13.1, which continue to apply to any resulting court proceeding.
14. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by email or in the Platform, and the effective date at the top of this page shows when the current version took effect. We record with your account which version of these Terms you agreed to, and when. Continued use of the Platform after a change takes effect constitutes acceptance of the revised Terms.
